Graydon has an active and sophisticated tax practice that includes all aspects of federal, state and local income taxation. In addition to assisting our tax clients with planning to minimize their tax liabilities, we work closely with the attorneys in other practice areas to achieve their clients’ objectives in tax efficient ways. Examples include:
- supporting our corporate lawyers in matters affecting business clients including formation issues, choice of entity, operational issues, shareholder agreements, mergers and acquisitions, restructurings, international tax issues, and state and local tax issues such as sales tax
- collaborating with our real estate attorneys on a variety of transactions including structuring real estate investments and ventures, arranging like-kind exchanges, advising on economic development projects, analyzing FIRPTA issues and contesting real property valuations
- working with our benefits and employment law attorneys on various payroll tax and executive compensation issues
- assisting our estate planning attorneys with matters such as succession planning and income tax issues involving trusts and estates
We work extensively with closely held businesses (everything from start-ups to “next generation” companies) and while much time is devoted to issues involving pass-through entities (S corporations, partnerships and limited liability companies), we routinely deal with C corporations and their multitude of tax issues. Advising on these topics often leads to our doing tax planning for the individual owners as well.
Tax-exempt organizations are another major focus area. We are experienced in a wide range of issues for both public charities and private foundations including their formation, acquiring formal tax-exempt status from the IRS, counseling on unrelated business income tax issues, structuring and implementing joint ventures, affiliations, and mergers, obtaining real property tax exemptions, and counseling on prohibited transactions and excess benefit transactions.
We are also seasoned in handling tax controversy cases and representing clients at all levels before federal, state and local taxing authorities.
